E-commerce tax debt: multistate nexus, marketplaces and 1099-K
Last updated · Reviewed for accuracy against IRS.gov guidance
Online sellers usually build tax debt quietly: sales into other states cross economic nexus thresholds, but no tax is charged, so the seller owes it from its own pocket. Marketplaces collect tax on their own sales but often not on your website sales. Form 1099-K also gives the IRS a check on your reported income.

How online sellers owe tax in other states
Since South Dakota v. Wayfair, states can require remote sellers to collect sales tax once sales into the state pass a threshold. Thresholds vary by state. A store that grows fast can cross several in one year without noticing. Use the multistate nexus checker and read the nexus guide.
Marketplace vs. your own website
Most states with a sales tax now require marketplace facilitators — large platforms that process sales for third-party sellers — to collect tax on sales made through them. That doesn't cover sales on your own website or wholesale orders. Some states also count marketplace sales toward your own threshold. See the marketplace facilitator guide.
Form 1099-K and income tax
Payment processors and marketplaces report payments to sellers on Form 1099-K. The amount is gross — before refunds, fees and shipping — so your return should reconcile it with your actual income. A big unexplained gap is a common reason for IRS letters to online sellers.
Common e-commerce tax problems
- Never registered in states where nexus was reached.
- Inventory stored in third-party warehouses creating physical nexus.
- Income under-reported because 1099-K totals weren't reconciled.
- Estimated tax payments skipped as profits grew, leaving a large IRS balance.
Fixing past exposure
Rank states by sales, then consider voluntary disclosure for the largest exposures before registering — many states limit lookback and waive penalties for sellers who come forward first. For federal balances, compare the business payment plan. The free business tax relief assessment has a "we owe in multiple states" option.

Do I owe sales tax on Amazon or Etsy sales?
+
Usually the marketplace collects and remits tax on sales made through it, but check each state's marketplace rules and your own website sales.
Why is my 1099-K higher than my income?
+
It reports gross payments, including amounts later refunded and fees. You reconcile the difference on your return.
Does storing inventory at a fulfillment center create nexus?
+
In many states, yes — inventory in a state can create physical nexus.
Can I fix several states at once?
+
The Multistate Tax Commission's voluntary disclosure program lets you approach participating states through one process.
Do I need to register before my first sale into a state?
+
Only once you have nexus there. Track sales by state so you know when you cross a threshold.
